These Terms of Service form a legally binding agreement between you and Gidun. They govern your access to and use of the Gidun marketplace, website, applications and related services.

By creating an account on Gidun, by placing an order through Gidun, or by accessing or using any part of the Gidun platform, you acknowledge that you have read, understood and agree to be bound by these Terms of Service in full.

If you do not agree with these Terms of Service, you must not use the Gidun platform.

Gidun operates as a global marketplace that connects independent sellers and buyers. These Terms of Service are written primarily for customers who use Gidun to discover and purchase products. However they also apply, in a general way, to any person who accesses the platform, including visitors, prospective customers, affiliates and sellers, except where a specific agreement such as the Seller Terms or the Affiliate Terms clearly prevails for a particular role.

These Terms of Service should be read together with the following related documents Privacy Policy , Cookie Policy, Shipping Policy, Returns & Replacements, Refund Policy, Seller Terms, Affiliate Terms, Prohibited Items

Each of those documents is incorporated by reference into these Terms of Service and is part of the overall agreement between you and Gidun.

1. Gidun, the Company and the Marketplace

1.1 The legal entity behind Gidun

Gidun is the legal name of the business operating the platform. Gidun is registered in Toronto, Canada.

In these Terms of Service, references to Gidun, we, us and our refer to this entity and to any affiliates or subsidiaries that support the operation of the platform. When these Terms of Service refer to you or to the user, they refer to the individual or organization that accesses or uses the platform.

Contact information for customer support, legal notices and other communications is provided on the Contact Us page.

1.2 Nature of the Gidun service

Gidun is an online marketplace that allows independent sellers to list and sell products to customers located in various countries. Through the platform, buyers can browse product listings, view details, place orders, pay for orders and arrange for shipping and delivery.

The core function of Gidun is to provide the digital infrastructure and related services that enable these transactions to occur.

Unless a product page clearly identifies Gidun as the seller, Gidun is not a party to the contract of sale between you and the seller. The contract of sale is formed between the buyer and the independent seller that offers the product. Gidun provides the platform that facilitates the transaction but does not normally manufacture, own or directly sell the marketplace products.

At the present time, Gidun does not sell its own branded products on the platform. In future, Gidun may introduce products or services that are sold directly by Gidun. If that occurs, those products will be clearly labeled, and additional or different terms may apply to those specific products.

1.3 Global availability and local responsibilities

Gidun is intended to be available to users around the world, subject to technical limitations and to any restrictions described in these Terms of Service.

However, laws and regulations differ from one country or region to another. You are responsible for ensuring that your access to and use of the Gidun platform comply with the laws that apply in the place where you are located. You are also responsible for ensuring that products you purchase and import using Gidun comply with all customs, import and local regulatory requirements in your location.

Gidun may block or restrict access to certain regions or users if Gidun considers it necessary for legal, regulatory, safety, fraud, business or reputational reasons. Gidun may implement geo blocking, payment restrictions or other controls at its discretion.

1.4 Relationship to other policies and documents

These Terms of Service operate alongside several other documents and policies that apply to your use of the platform.

For example

  • The privacy policy explains how Gidun collects, uses, shares and protects personal data. When we intend that reference to be a hyperlink we will refer you to the Privacy Policy.
  • The cookie policy explains how Gidun uses cookies and similar technologies. When we intend that reference to be a hyperlink we will refer you to the Cookie Policy.
  • The shipping policy describes how shipping options, carriers, delivery estimates and related matters are handled on the platform. When we intend that reference to be a hyperlink we will refer you to the Shipping Policy.
  • The returns and replacements policy sets out how returns and exchanges are handled. When we intend that reference to be a hyperlink we will refer you to the Returns & Replacements.
  • The refund policy explains how and when refunds may be issued. When we intend that reference to be a hyperlink we will refer you to the Refund Policy.
  • The seller terms govern sellers who list and sell products through Gidun. When we intend that reference to be a hyperlink we will refer you to the Seller Terms.
  • The affiliate terms and affiliate program documents govern individuals and organizations that promote Gidun as affiliates. When we intend those references to be hyperlinks we will refer you to the Affiliate Terms and the Affiliate Program.
  • The prohibited items policy describes the categories of items that may not be listed or sold through Gidun. When we intend that reference to be a hyperlink we will refer you to the Prohibited Items.

If there is any inconsistency between these Terms of Service and a more specific policy that deals with a particular topic, the more specific policy will normally control for that topic. Still, these Terms of Service provide the core framework for the relationship between you and Gidun as a user of the platform.

2. Eligibility, Age Requirements and Capacity

2.1 Legal capacity

You may use the Gidun platform only if you have the legal capacity to enter into a binding contract under the laws that apply in your place of residence.

If you accept these Terms of Service on behalf of an organization such as a company, partnership, nonprofit or other legal entity, you represent and warrant that you have the authority to bind that entity. In that case, references to you in these Terms of Service will refer both to you personally and to that entity.

2.2 Minors and parental consent

The Gidun platform is not directed to young children. A person who has not yet reached the age of legal majority in their province, state or country is considered a minor for the purpose of these Terms of Service.

A minor may use Gidun only with the informed consent and active supervision of a parent or legal guardian who has legal capacity. The parent or guardian must review these Terms of Service and agree to them on behalf of the minor. The parent or guardian is responsible for all actions taken by the minor on or through the platform.

If you are a parent or legal guardian and you allow a minor to use your account or the Gidun platform, you understand and agree that

  • You are responsible for monitoring and supervising the minor at all times while they use the platform.
  • You remain responsible for any orders placed, any content posted and any communications sent through the minor using the account.
  • You will ensure that the minor understands and follows these Terms of Service and any other applicable policies.

Gidun may implement age related checks or verification measures if required by law or if Gidun believes that additional safeguards are necessary.

2.3 Accuracy of information

You represent and warrant that all information you submit to Gidun, whether during registration or later, is true, accurate, current and complete.

You agree to update this information promptly if it changes, for example when you move to a new address or when your contact information changes. If you do not keep your information accurate and up to date, we may be unable to provide services to you, and we may suspend or terminate your account.

3. Account Registration and Management

3.1 Account requirement for purchases and features

To place an order on Gidun, you must first create and maintain a user account.

Certain features such as viewing order history, saving addresses, posting reviews, using messaging tools and participating in reward or affiliate programs also require an account. Some limited parts of the Gidun website may be accessible without registration, but you will not be able to complete purchases without an account.

When you register, you agree to these Terms of Service and to any additional terms or notices presented during registration.

3.2 Information required to create a customer account

To create an account, Gidun will ask you to provide certain information. This generally includes

  • Your full name
  • A valid email address
  • A mobile or landline phone number where possible
  • Any other information that is reasonably required to support and secure your account, such as password or security questions

Gidun may use this information to manage your account, provide customer support, send service related communications, process orders and take steps to protect you and other users from fraud and abuse.

Gidun may ask you to verify your email address or phone number. Verification steps may include sending a verification link, sending a code by text message or phone, or using other methods that are considered reasonable and secure.

3.3 Identity verification and supplemental checks

For some orders or account activities, especially high value orders or orders from locations that Gidun considers high risk, Gidun may request that you provide additional information in order to verify your identity or the legitimacy of the transaction.

This additional information may include

  • A copy or photograph of a government issued identity document
  • A document that proves your address such as a utility bill or bank statement
  • Documents or information that demonstrate that you are authorized to use the payment method involved in the transaction
  • Any other information or documentation that a reasonable business would collect to guard against fraud, money laundering or misuse

Gidun may share certain verification information with trusted service providers for the purposes of conducting these checks. The collection and use of such information will be governed by the Privacy Policy and by applicable laws.

If you fail to provide requested information or if the information you provide cannot be verified, Gidun may cancel one or more orders, restrict certain features of your account, suspend your account or terminate your access to the platform.

3.4 Single customer account rule and seller accounts

Each natural person may have only one customer account on the Gidun platform.

If we reasonably believe that multiple customer accounts are associated with the same individual and are being used in a way that undermines the integrity of the platform or any promotional programs, we may consolidate accounts, restrict accounts or close accounts that violate this rule.

If you operate a business and wish to sell products on Gidun, you may create a separate seller account, subject to the Seller Terms and any additional onboarding requirements. A seller account is distinct from a buyer account and is designed to support functions such as listing products, managing inventory, handling orders and accessing payout information.

Gidun may link your buyer and seller accounts internally for compliance and security reasons, while still allowing them to function separately.

3.5 Account security and responsibility

You are responsible for maintaining the confidentiality and security of the login credentials that you use to access Gidun, including your password and any secondary authentication methods.

You agree that you will

  • Choose a strong password and keep it secret
  • Not share your password or other login credentials with anyone else, except a parent or guardian when this is clearly appropriate and permitted
  • Not reuse your Gidun password for unrelated services where possible
  • Promptly log out of your account at the end of each session on shared or public devices

If you suspect that your account or password has been compromised, or that someone else has accessed your account without your permission, you must notify Gidun immediately using the contact information on the contact page or through the account support features.

You are responsible for all activities that occur under your account until you inform Gidun of the suspected compromise and Gidun has had a reasonable opportunity to respond.

3.6 Suspension and termination of accounts

Gidun may, in its sole discretion and without liability to you, suspend, limit or terminate your account or your access to the platform if Gidun believes that

  • You have violated these Terms of Service or any other applicable policy, including the privacy policy, the cookie policy or the prohibited items policy
  • You have engaged in abusive, fraudulent, harmful or illegal conduct
  • You have engaged in chargeback abuse or in patterns of disputes that appear improper
  • Your actions create risk for other users, for sellers, for Gidun or for third parties
  • Gidun is required to do so by law, by court order or by request from a governmental or regulatory authority

Gidun may attempt to notify you of such actions, but is not required to do so in all circumstances. Gidun may also take any other measures that Gidun considers appropriate, including cancelling pending orders and restricting new orders.

In serious cases, Gidun may prohibit you from creating new accounts in the future.

4. Marketplace Structure, Sellers, Affiliates and Third Parties

4.1 Independent sellers

Gidun is a marketplace that hosts independent sellers. These sellers may include individual entrepreneurs, small businesses and larger brands. Each seller is responsible for the products that the seller lists on Gidun, for the accuracy of the seller listings, for compliance with applicable laws and for the fulfillment of the seller orders.

When you purchase a marketplace product, the contract of sale is between you and the seller, not between you and Gidun, unless the product page clearly identifies Gidun itself as the seller.

Gidun may provide tools and guidelines to help sellers meet certain standards of quality, shipping speed and customer service, but sellers remain independent and are not employees or agents of Gidun.

4.2 Seller terms

Sellers who use Gidun are required to agree to and comply with the seller terms. When Gidun intends to provide you with a link to those terms, Gidun refers to the Seller Terms.

The seller terms address topics such as

  • Product listing requirements
  • Prohibited item categories
  • Order fulfillment and shipping standards
  • Handling of returns and refunds
  • Seller obligations regarding taxes, customs and regulatory compliance
  • Use of customer data provided for fulfillment

Customers are not parties to the seller terms, but customers may benefit from certain protections that the seller terms place on sellers, especially where those protections are reflected in customer facing policies.

4.3 Affiliate program and affiliate terms

Gidun may operate an affiliate or referral program that allows individuals and organizations to earn rewards or commissions by referring customers to Gidun.

Affiliates are independent from Gidun. They are not employees, partners or agents of Gidun. Affiliates must comply with the affiliate terms and program rules. When Gidun intends to provide a link to these materials, Gidun refers to the Affiliate Terms and the Affiliate Program.

Affiliates may promote Gidun through links, codes or other approved methods. Gidun is not responsible for statements made by affiliates that are not consistent with official Gidun materials.

4.4 Third party payment providers and shipping partners

Gidun uses third party providers such as Stripe and PayPal to process payments. Gidun also works with services such as Shippo and the connected carriers to calculate shipping rates, generate labels and support delivery.

When you choose a particular payment or shipping method, you may be subject to the terms and conditions of those third parties, in addition to these Terms of Service.

Gidun does not control and is not responsible for the content, policies or practices of these third parties, although Gidun seeks to work with reputable providers.

5. Products, Listings and Prohibited Items

5.1 Product categories and general rules

Through Gidun, sellers can list many types of products for sale. The precise categories allowed may evolve over time. Examples may include apparel, accessories, home goods, art, collectibles, electronics and other consumer goods.

Each product listing must be truthful, accurate and not misleading. Sellers must describe the essential features of their products, such as materials, sizes, colors, special care instructions and any other information that an ordinary customer would reasonably need to make an informed decision.

5.2 Prohibited and restricted items

Gidun maintains a detailed prohibited items policy that describes categories of products that cannot be listed, sold or purchased through the platform. When Gidun intends that reference to be a hyperlink Gidun uses the Prohibited Items.

Without limiting that policy, the following categories are generally prohibited

  • Illegal drugs and controlled substances
  • Weapons and related items that require a license or that are restricted under applicable law
  • Prescription medicines and many medical devices that require professional or regulatory oversight
  • Products that depict or promote explicit adult content
  • Items that promote hate, violence, discrimination or harassment
  • Counterfeit products and other items that infringe trademarks, copyrights, patents or similar rights
  • Products that present unreasonable safety risks

Gidun does not permit the sale of adult products, weapons or products that in ordinary use require a license such as firearms or certain prescription medications.

Gidun may also impose age based or region based restrictions on specific product categories as the need arises.

If a seller lists an item that violates the prohibited items policy, Gidun may remove or hide the listing, cancel orders that involve that item and take action against the seller account.

5.3 Accuracy of listings and seller responsibility

Sellers are responsible for the content of their listings. This includes product titles, descriptions, images, pricing, shipping terms and any other information presented to customers on the product page.

Gidun does not guarantee that product descriptions or other seller generated content are accurate, complete, reliable or free from error. While Gidun may take steps to verify the identity of sellers and to conduct other checks, Gidun does not assume responsibility for verifying that each listing is fully accurate or lawful.

You acknowledge that

  • The images and descriptions presented by sellers are for general illustration and information
  • Products may vary slightly from their images or descriptions in ways allowed by law and by the relevant policies
  • Any reliance you place on seller generated information is at your own risk

If you believe a listing is inaccurate, unlawful or misleading, you may report it to Gidun through the contact page. Gidun may review such reports and may take appropriate action in its discretion.

5.4 Gidun rights to manage listings

Gidun may at any time, and without prior notice, take any of the following actions

  • Edit, reformat or correct obvious errors in listings, such as typographical errors
  • Change how listings are categorized or displayed in search results and recommendation modules
  • Remove or hide listings that violate policies or laws, that appear inappropriate, or that create risk to users or to Gidun
  • Restrict certain categories of items from being displayed in particular regions

The fact that Gidun chooses not to remove or modify a particular listing does not mean that Gidun endorses that listing or that Gidun accepts responsibility for it.

6. Orders and Contract Formation

6.1 Placing an order

To place an order, you must select the desired product, choose any required options such as size or color, provide or confirm shipping details, select a payment method and complete the checkout process.

Before confirming your order, you should carefully review all details, including the items in your cart, quantities, prices, shipping costs, taxes, delivery estimates and any applicable discount codes.

When you click the button or take the equivalent action to place an order, you make a binding offer to purchase the items listed in your order on the terms presented.

6.2 Acceptance of your order

For marketplace orders, an order is considered accepted once you successfully complete the checkout process and the order is recorded in the Gidun system.

At that point, the independent seller is expected to fulfill the order in full, provided that the seller has the ability to do so and that no circumstances arise that legitimately prevent fulfillment.

However, even after acceptance, Gidun and the seller reserve the right to cancel an order in whole or in part in certain situations. Examples include

  • The product is out of stock or no longer available
  • There are clear errors in pricing or description
  • The seller or Gidun has reason to suspect fraud, abuse or misuse
  • The order cannot legally be shipped to the destination
  • The buyer has not responded to reasonable requests for additional verification

If your order is cancelled after payment has been collected, Gidun will arrange for a refund in accordance with the refund policy.

6.3 Order confirmations and updates

After you place an order, Gidun will usually send you an order confirmation email. This confirmation will list the main details of your order. You may also be able to view your orders in your account dashboard.

Sellers are responsible for updating order status, for example by marking an order as processed, shipped or completed. Where carriers provide tracking information, sellers are expected to upload or connect that information so that you can track the progress of your parcel.

6.4 Changes and cancellations by the customer

Once an order has been placed, your ability to change or cancel the order will depend on the status of the order and on the seller policies.

In some cases, you may be able to cancel an order from within your account if the seller has not yet begun processing or shipping the order. In other cases, you may need to contact the seller through the Gidun messaging tools or contact Gidun support to request a change.

Gidun cannot guarantee that any requested change or cancellation will be accepted. If an order cannot be changed or cancelled before shipment, you may still be able to return eligible items after delivery, as explained in the returns and replacements policy and the refund policy.

Any refund resulting from a change or cancellation will be processed in accordance with those policies.

7. Pricing, Currency, Taxes and Fees

7.1 Seller control over prices

For marketplace products, each independent seller sets the price of the seller products. Sellers may adjust their prices at any time prior to order placement. Prices may differ among sellers, even for similar or comparable products.

Gidun may encourage or support promotional activities, but the final decision regarding pricing belongs to the seller, except where Gidun itself is the seller.

7.2 Local currency and conversions

The default operating currency for the Gidun platform is United States dollars.

To make shopping easier, Gidun may display approximate prices in your local currency. These prices are based on currency exchange rates that may be provided by third party services or payment providers. They may change regularly and may differ from the exact effective rate used by your bank or payment provider.

If currency conversion occurs, either at the Gidun level or by your bank or card issuer, you may incur additional fees such as foreign transaction charges. You are responsible for these fees.

7.3 Taxes, customs duties and import fees

Unless clearly stated otherwise during checkout, prices displayed on Gidun generally do not include taxes, customs duties, import fees or similar governmental charges.

Gidun does not assume responsibility for those fees. You, as the buyer, are responsible for paying all applicable taxes and import related charges that arise from your order.

Depending on the configuration of the seller and the tools used, some taxes may be calculated and collected at checkout. In other cases, customs duties or local taxes may be payable upon delivery or may be collected directly by the carrier or by a customs authority.

If you are unsure about the taxes and duties that may apply to a particular purchase, you should consult a professional adviser or your local tax authority before placing an order.

7.4 Price errors and obvious mistakes

Although Gidun and the sellers aim to display accurate prices at all times, errors may occur.

If the correct price of a product is higher than the price displayed at the time of ordering, Gidun or the seller may contact you to ask whether you wish to continue the purchase at the correct price. If you do not agree, the order for that product may be cancelled and any payment you have made for that product may be refunded.

If the correct price is lower than the displayed price, Gidun or the seller may at their discretion charge you the lower amount or adjust the price accordingly.

Gidun does not have an obligation to sell a product at a clearly incorrect price, even after an order has been accepted.

8. Payment Processing and Customer Protection

8.1 Accepted payment methods

Gidun supports payments through major credit and debit cards and through certain digital payment services such as Stripe and PayPal. The available payment methods may vary depending on your country, the type of device you use and the specific seller or products involved.

The payment methods that are available for your order will be shown during checkout.

Some payment providers may offer additional features, such as installment plans or buyer protection programs, but those features are provided by the payment provider and are subject to their terms.

8.2 Gidun role as payment collector

For marketplace transactions, Gidun generally acts as the payment collector. That means that you authorize Gidun and its payment providers to charge your selected payment method for the full amount of the order, which may include product price, shipping costs, taxes and other charges presented at checkout.

After a successful charge, Gidun arranges to remit the appropriate funds to the seller, after deducting marketplace fees and other applicable charges.

You authorize Gidun to credit your payment method with refunds where appropriate, following the refund policy.

8.3 Authorization, holds and verification

By providing a payment method, you represent and warrant that you are authorized to use that method and that the information you provide is true and accurate.

You authorize Gidun and the payment providers used by Gidun to obtain payment authorization, to capture funds and to store your payment credentials where permitted by law and by the privacy policy.

For fraud prevention and compliance, Gidun may place temporary authorization holds on your payment method, may delay processing of transactions or may request additional information before accepting a payment.

8.4 Payment failures and chargebacks

If your payment method fails, your order may be cancelled or may not be processed. You are responsible for resolving issues with your bank or payment provider.

If you initiate a chargeback or dispute with your card issuer or payment provider, Gidun may temporarily suspend your account, investigate the transaction and restrict certain features until the dispute is resolved.

Where a dispute arises because of a misunderstanding or quality issue that can reasonably be resolved directly between you, the seller and Gidun, Gidun encourages you to contact support before initiating a chargeback, as this may provide a faster and more flexible solution.

Gidun reserves the right to take action against accounts that engage in abusive or excessive chargebacks, including restricting purchases, cancelling orders and closing accounts, especially where disputes appear to be filed in bad faith.

8.5 Security practices

Gidun and its payment providers use a combination of technical, organizational and administrative safeguards to protect payment related data.

These measures may include encryption, tokenization, access controls and regular security assessments. However, no system is completely secure. You acknowledge that, although Gidun takes reasonable precautions, the transmission and storage of data can never be guaranteed to be entirely risk free.

Gidun is not responsible for unauthorized transactions that result from your failure to secure your account, your device or your payment credentials.

9. Shipping, Delivery and Risk of Loss

9.1 Shipping responsibility

At the current stage of Gidun, all sellers are responsible for physically shipping the products they sell. Gidun provides tools and integrations that help sellers generate labels and calculate rates, but Gidun does not presently operate its own fulfillment centers for marketplace products.

In the future, Gidun may introduce a fulfillment service in which Gidun stores, packs and ships products on behalf of certain sellers. If that occurs, Gidun will publish additional policies describing how those services work and how responsibilities are shared among Gidun, the seller and the buyer.

9.2 Calculation of shipping costs

Shipping costs are calculated during checkout using the data provided by the sellers, by services such as Shippo and by carriers.

The amount you are shown at checkout takes into account factors such as

  • The distance between the seller and the buyer
  • The weight and size of the package
  • The shipping service selected
  • Any additional options, such as tracking or insurance, where applicable

Gidun and the seller aim to provide accurate shipping costs. However, in rare cases, the actual cost may differ from the calculated amount due to carrier adjustments, address issues or changes that occur after checkout. If there is a significant difference, the seller or Gidun may contact you to explain the situation and offer options.

9.3 Delivery estimates and delays

Estimated delivery dates are provided for your convenience and are based on information from the seller and the carrier. They are not guaranteed delivery dates.

Actual shipping times may be influenced by many factors, including carrier performance, customs inspections, weather events, strikes, local holidays and other circumstances beyond the control of the seller or Gidun.

Sellers are expected to dispatch orders within the handling time described in the listing and to choose carriers that provide a reasonable level of service for the destination.

If you experience a delay that seems unreasonable, you should contact the seller through the messaging tools or reach out to Gidun support. Gidun may assist, as reasonably possible, in communicating with the seller and in exploring options.

9.4 Risk of loss, damage or theft

Risk of loss for a product and title to that product generally pass from the seller to you according to the shipping arrangement and applicable law.

As between you and Gidun, you agree that Gidun is not responsible for packages that are lost, stolen or damaged during transit or after delivery, except in limited cases where Gidun itself is the seller and applicable law imposes specific obligations.

Responsibility for such loss usually lies with the seller and the shipping carrier, subject to any insurance or protection offered by the carrier.

If your order does not arrive, arrives damaged or appears to have been stolen after delivery, you should

  • Check tracking information and any delivery photos if available
  • Contact the seller through the platform to report the issue
  • Work with the seller to file claims with the carrier where possible
  • Follow any additional steps described in the returns and replacements policy or the refund policy

Gidun may provide support and guidance but cannot guarantee a particular outcome in disputes involving carriers and sellers.

10. Returns, Replacements and Refunds

10.1 Overview of policies

Gidun maintains a global approach to returns, replacements and refunds, which is documented in more detail in the dedicated policies. When Gidun intends that references be hyperlinks, Gidun uses the Returns & Replacements and the Refund Policy.

These policies are designed to provide clear expectations to both buyers and sellers and to support fair treatment across different categories of products, while still giving sellers reasonable flexibility where required.

10.2 General return period and conditions

Unless a product is clearly labeled as non returnable or a different period is specified under local law or in the listing, customers generally have a period of thirty days from the date of delivery within which to initiate a return or replacement request.

To qualify for a return or replacement, products often must be in a condition similar to the condition in which they were received, subject to normal inspection and testing. This usually means that

  • The product has not been used beyond what is necessary to inspect it
  • The product is clean and not damaged by misuse
  • All accessories, manuals and packaging are returned where reasonably possible

Some products may be eligible for partial refunds if they cannot be returned in their original condition.

10.3 Non returnable or non refundable items

Certain categories of products may be marked as not eligible for return or refund due to their nature or for regulatory reasons. Examples may include

  • Digital downloads and permanently unlocked software after access has been provided
  • Intimate or personal care items where resale would raise hygiene concerns
  • Perishable goods that are likely to spoil or degrade quickly
  • Customized or personalized items that are made to your specific order

Details about such categories are explained in the returns and replacements policy. By purchasing these items, you acknowledge and accept the return and refund limitations that apply.

10.4 Return and replacement process

To initiate a return or replacement, you should follow the instructions in your account dashboard and in the applicable policies.

In general, the process may involve

  • Locating the relevant order in your account
  • Submitting a request that describes the reason for the return or replacement
  • Providing photos or other documentation where requested
  • Waiting for the seller or Gidun to review the request
  • Receiving instructions about where and how to send the product back, if a return is approved

You must not send products back to an unrelated address or to an address that differs from the one specified in the return instructions. Doing so may prevent proper processing of your return.

Once the seller receives the returned item and verifies its condition, the seller will approve or deny the refund or replacement in accordance with the policies and applicable law.

10.5 Refunds

When a refund is approved, Gidun will generally issue the refund using the same payment method that was used for the original order if possible.

The refund policy explains how long refunds may take to appear on your statement. The timing may depend on your bank or payment provider.

Refund amounts may take into account factors such as

  • Whether the item arrived damaged or defective
  • Whether you changed your mind or ordered the wrong item
  • Whether the item is covered by free returns or whether return shipping costs are deducted
  • Whether restocking fees apply, to the extent allowed by law and disclosed in advance

Gidun seeks to ensure that refund practices are fair and consistent, but because sellers are independent, there may be differences in how specific cases are handled, as long as the minimum standards in the policies are met.

10.6 Disputes about returns or refunds

If you and a seller cannot agree on a return, replacement or refund, you may contact Gidun support. Gidun may review the communications, the order details and any evidence submitted, and may attempt to facilitate a resolution consistent with the applicable policies.

However, because most contracts of sale are between you and the independent seller, Gidun ability to enforce particular outcomes may be limited. In some cases, you may need to pursue your rights directly against the seller or through your payment provider or through legal channels.

11. User Conduct and Acceptable Use

11.1 General expectations

Gidun aims to provide a respectful, safe and trustworthy environment for buyers, sellers and other participants. To support this goal, you agree that you will use the platform only for lawful and intended purposes and in accordance with these Terms of Service.

You are responsible for your conduct on the platform and for the conduct of anyone who uses your account.

11.2 Prohibited conduct

You agree that you will not

  • Harass, threaten, abuse or intimidate any person, including sellers, buyers, Gidun staff or other users
  • Engage in discriminatory, hateful or violent speech or behavior
  • Use the platform to spread spam or unsolicited messages
  • Attempt to circumvent fees or charges that are due to Gidun or to sellers
  • Encourage or request that other users complete transactions outside of Gidun in order to avoid fees or for other unapproved reasons
  • Engage in fraudulent activity such as stolen payment methods, identity theft, false claims or chargeback abuse
  • Use automated scripts, bots or scraping tools to collect data from the platform without Gidun written permission
  • Introduce malware, viruses or other harmful code into the platform
  • Attempt to gain unauthorized access to accounts, systems or data
  • Interfere with or disrupt the proper functioning of the platform or the experience of other users
  • Engage in any activity that would reasonably be expected to harm the reputation or operations of Gidun

Gidun may investigate suspected violations and may take action such as issuing warnings, removing content, suspending accounts and reporting unlawful behavior to law enforcement.

11.3 Off platform transactions

You must not use Gidun communication tools or other features to arrange payments, shipping or other transaction activities outside of the Gidun platform.

Transactions that occur off platform are not protected by Gidun policies. If you choose to engage in such activities, you do so at your own risk, and Gidun may limit or close your account for such behavior.

11.4 Cooperation with investigations

If Gidun believes that an account has been used in connection with fraud, a security incident, a policy violation or illegal activity, Gidun may ask you to cooperate with reasonable requests for information. This may include providing additional documents, answering questions or assisting in clarifying factual circumstances.

Failure to cooperate may result in restriction or termination of your account.

12. User Generated Content

12.1 Types of content

Gidun may allow users to submit content in various forms, including

  • Product ratings and written reviews
  • Questions and answers about products
  • Photos or videos related to products
  • Messages between buyers and sellers
  • Feedback submitted to Gidun

This content is referred to collectively as user content.

12.2 Content standards

You are solely responsible for the user content you submit. You agree that your user content will

  • Be truthful and based on your honest experience where it describes products or transactions
  • Comply with applicable laws and regulations
  • Not contain defamatory, hateful, harassing, obscene or otherwise offensive material
  • Not contain content that promotes violence, discrimination or illegal activity
  • Not infringe on the intellectual property rights, privacy rights or other rights of any person or entity
  • Not contain spam, solicitation or advertising unrelated to the product, seller or topic at hand

Gidun reserves the right, but does not undertake an obligation, to review, monitor, edit or remove user content that appears to violate these standards or that Gidun considers inappropriate, misleading or harmful.

12.3 License to Gidun

By submitting user content, you grant Gidun a worldwide, nonexclusive, royalty free, transferable and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform and display that content in any media for purposes related to the operation, promotion and improvement of the Gidun platform.

This includes the right to display your reviews on product pages, to use excerpts of your feedback in promotional materials, and to make user content available to other users and to partners.

You confirm that you have the rights necessary to grant this license, and that your user content does not violate the rights of others.

12.4 No obligation to retain content

Gidun may remove user content at any time for any reason. Gidun is not obligated to retain or provide copies of user content after it has been removed or after your account is closed.

You should not rely on Gidun as a storage or archiving service for your content.

13. Messaging and Communication Tools

13.1 Buyer seller communication

Gidun may offer messaging features that enable buyers and sellers to communicate with each other about orders, product details, shipping questions and similar topics.

These communication tools are provided to support safe and transparent interactions. They must be used in accordance with these Terms of Service and with any specific communication guidelines that Gidun may publish.

You must not use messaging tools to engage in harassment, to send spam, to share inappropriate content or to arrange off platform transactions.

13.2 Monitoring and moderation

To help prevent abuse and to enforce these Terms of Service and other policies, Gidun may review or monitor messages exchanged on the platform, using automated tools, human moderators or both, in accordance with applicable laws and the privacy policy.

By using messaging features, you acknowledge that such monitoring may occur and that Gidun may access and use the content of messages for purposes such as

  • Fraud detection
  • Security investigations
  • Dispute resolution
  • Enforcement of policies
  • Improvement of services

13.3 Service notifications and marketing messages

Gidun may send you service related notifications, for example

  • Order confirmations and updates
  • Security alerts
  • Notices about changes to policies or features
  • Messages related to your account status

You cannot opt out of service related notifications that are necessary for the functioning of your account and for the fulfillment of orders, as long as you maintain an active account.

Gidun may also send marketing messages, for example promotional emails or announcements of new features. You may opt out of marketing messages at any time by using the unsubscribe link included in each message or by changing your communication preferences in your account settings.

Opting out of marketing messages will not stop service related notifications.

14. Intellectual Property Rights

14.1 Ownership of the platform and content

Gidun and its licensors own all rights, title and interest in and to the Gidun platform and its content, including

  • The Gidun name and logos
  • The platform design, layout and look and feel
  • Text, images, graphics and other media created by or for Gidun
  • Software, source code, algorithms and databases underlying the platform

These are protected by copyright, trademark and other laws.

Subject to your compliance with these Terms of Service, Gidun grants you a limited, nonexclusive, non transferable, revocable license to access and use the platform for your personal or internal business purposes.

You must not copy, reproduce, distribute, publicly display, publicly perform, modify, create derivative works from or otherwise exploit any part of the platform or its content except as expressly permitted by these Terms of Service or by applicable law.

14.2 Use of Gidun brand assets

Gidun may make certain brand assets available for limited use, for example badges that identify you as a seller on Gidun or assets that support promotional activities.

Any use of Gidun brand assets must comply with any guidelines that Gidun publishes. You must not

  • Present yourself as an employee or agent of Gidun unless this is in fact the case
  • Use the Gidun name or logos in a way that is misleading or confusing
  • Register domain names or social media handles that incorporate the Gidun brand or confusingly similar names

If Gidun asks you to stop using a particular brand asset or to change how you use it, you must comply promptly.

14.3 Use of Gidun content by users

Customers sometimes wish to share screenshots of the platform, product pages or order details on social media, blogs or review sites. Gidun generally permits such limited use for lawful and fair purposes, provided that you do not

  • Misrepresent Gidun or others
  • Remove or alter trademarks or attribution notices
  • Use the content in a way that competes with Gidun or that copies substantial parts of the platform for commercial use

If you wish to use Gidun content in a more extensive or commercial manner, you must seek permission from Gidun in advance.

14.4 Intellectual property of sellers and third parties

Products offered on Gidun may include designs, brand names, artwork and other content that belong to sellers or to third parties. You must respect these rights.

You may not copy or use such content except as allowed by law or by a license from the rights owner. Purchasing a product does not necessarily grant you any intellectual property license beyond what is necessary for normal use of the product.

15. Intellectual Property Complaints

15.1 Reporting alleged infringement

If you believe that any content on Gidun infringes your intellectual property rights, you may submit a complaint to Gidun through the contact methods provided on the Contact Us page.

Your complaint should include at least the following information

  • Identification of the intellectual property that you believe has been infringed
  • Identification of the specific content or listings on Gidun that you believe are infringing, including URLs or other precise information that will help us locate the content
  • Your contact details
  • A statement that you have a good faith belief that the disputed use is not authorized by you, your agent or the law
  • A statement that the information in your complaint is accurate and that you are authorized to act on behalf of the rights owner

Gidun may ask for additional information if necessary.

15.2 Gidun response to complaints

Upon receiving a complaint that appears complete and credible, Gidun may

  • Remove or disable access to the allegedly infringing material
  • Notify the seller and offer an opportunity to respond
  • Request further documents from both parties
  • Take other steps that Gidun considers appropriate to address the issue

Gidun attempts to handle such complaints in a balanced and fair way. Gidun is not, however, required to become a party to disputes between rights owners and sellers, except as required by law.

16. Privacy and Data Protection

16.1 Privacy practices

The privacy policy explains in detail how Gidun collects, uses and shares personal information when you use the platform. When Gidun intends that reference to be a hyperlink Gidun uses the Privacy Policy.

By using the platform, you acknowledge that you have had an opportunity to review the privacy policy and that you understand how your information may be handled.

If there is any conflict between these Terms of Service and the privacy policy with respect to personal data, the privacy policy will generally take precedence.

16.2 Cookies and related technologies

Gidun uses cookies and similar technologies to provide and improve the platform, to personalize content, to remember your preferences and to analyze usage patterns. The cookie policy contains more detailed information. When Gidun intends that reference to be a hyperlink Gidun uses the Cookie Policy.

You can manage certain cookie preferences through your browser settings or through tools that Gidun may provide, bearing in mind that some cookies are necessary for the proper functioning of the platform.

16.3 Sharing customer data with sellers

To fulfill your orders, Gidun shares limited information about you with the sellers from whom you purchase products.

This typically includes your name, shipping address and, when necessary to arrange delivery or service, your phone number or email address. Sellers are required to use this information only for purposes related to order fulfillment, customer support and legal compliance.

Gidun does not provide sellers with access to more information than they reasonably need to ship and support your orders. Sellers must handle this information in accordance with applicable data protection laws and with the commitments they make in the seller terms.

16.4 Marketing communications and opt out

As described earlier, Gidun may send marketing communications such as promotional emails, newsletters or offers.

You can opt out of receiving marketing communications at any time by clicking the unsubscribe link in such communications or by adjusting your preferences in your account settings.

Gidun will process your opt out request within a reasonable time. After that, you should no longer receive marketing messages, although you will continue to receive service related messages that are necessary for your account and orders.

17. Third Party Links and Services

The Gidun platform may include links to third party websites, plug ins and services that are not owned or controlled by Gidun. It may also allow you to access features that are provided in whole or in part by third parties, such as payment gateways, analytics tools or embedded content.

These third parties are responsible for their own terms, policies and practices. Gidun does not endorse or assume responsibility for third party sites or services, even if they are integrated into the platform.

If you choose to use a third party service in connection with Gidun, you do so at your own risk and subject to the terms of that service.

18. Disclaimers of Warranties

You acknowledge and agree that your use of the Gidun platform and any products or services obtained through the platform is at your sole risk.

To the fullest extent permitted by applicable law, Gidun provides the platform on an as is and as available basis. Gidun does not make any promises, assurances or warranties of any kind with respect to the platform, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title and noninfringement.

Without limiting the generality of this section, Gidun does not warrant that

  • The platform will be free from errors, defects, interruptions or security issues
  • The platform will operate in combination with your devices, software or networks
  • The information available on the platform, including product descriptions and user reviews, is accurate, complete or up to date
  • Any defects or issues will be corrected in a particular timeframe

For marketplace products, Gidun does not manufacture or control the products offered by independent sellers. Any warranties related to such products may be provided by the seller or the manufacturer and are subject to their terms.

Some jurisdictions do not allow the exclusion of certain warranties or conditions. In those jurisdictions, the above disclaimers will apply only to the extent permitted by law.

19. Limitation of Liability

To the fullest extent permitted by applicable law, Gidun, its officers, directors, employees, agents and affiliates will not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages arising out of or in connection with your use of the platform or with any products or services obtained through the platform.

This includes, without limitation, damages for loss of profits, loss of data, loss of goodwill, business interruption, personal injury or property damage, even if Gidun has been advised of the possibility of such damages.

To the fullest extent permitted by law, and subject to non waivable consumer rights, the total aggregate liability of Gidun to you for all claims arising out of or relating to these Terms of Service or to your use of the platform will not exceed the greater of

  • The total amount you paid to Gidun in connection with the orders or transactions that gave rise to the claim during the period of six months immediately before the event giving rise to the claim, or
  • One hundred United States dollars

Because most marketplace transactions are between you and independent sellers, you understand that claims relating to the quality, performance, safety or legality of specific products may need to be pursued against the relevant seller rather than against Gidun.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages or losses. In those jurisdictions, the limitations in this section will apply only to the extent permitted by law.

20. Indemnification

You agree to indemnify, defend and hold harmless Gidun and its officers, directors, employees, agents and affiliates from and against all claims, demands, actions, suits, proceedings, damages, losses, liabilities, judgments, costs and expenses, including reasonable legal fees, that arise out of or relate to

  • Your use of the platform or of any products or services obtained through the platform
  • Your violation of these Terms of Service or of any other policy referenced in them
  • Your violation of any applicable law or regulation
  • Your violation of the rights of any third party, including intellectual property or privacy rights
  • Your user content or your conduct in connection with the platform

Gidun reserves the right to assume the exclusive defense and control of any matter that is subject to indemnification by you, and in that case you agree to cooperate with Gidun in asserting any available defenses.

21. Governing Law and Dispute Resolution

21.1 Governing law

These Terms of Service and any disputes or claims arising out of or relating to them, to the platform or to any products or services obtained through the platform are governed by the laws of the Province of Ontario, Canada and the federal laws of Canada that apply in that province, without regard to conflict of law rules that might refer the matter to another jurisdiction.

21.2 Informal resolution

Before starting formal legal proceedings or arbitration, you agree to first contact Gidun through the methods described on the Contact Us page and to give Gidun an opportunity to resolve the dispute informally.

Your notice should include your name, contact information, a description of the dispute and the relief you seek.

Gidun will attempt in good faith to resolve the dispute within a reasonable period. If the dispute is not resolved within sixty days after Gidun receives your notice, either you or Gidun may commence arbitration or other proceedings as described below.

21.3 Agreement to arbitration

Except where prohibited by law or where a dispute falls within the jurisdiction of a small claims court, any dispute, controversy or claim arising out of or relating to these Terms of Service, the platform or any products or services obtained through the platform, including any question about their existence, validity or termination, will be resolved by binding arbitration.

The arbitration will take place in Ontario, Canada, in the English language, before a single arbitrator. The arbitration will be conducted under the rules of a recognized arbitration institution or service that Gidun selects or that you and Gidun agree upon, to the extent that those rules do not conflict with applicable law.

The arbitrator will have the authority to grant any remedy or relief that a court could grant, consistent with these Terms of Service, and the decision of the arbitrator will be final and binding. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

21.4 Class action waiver

To the fullest extent permitted by law, you and Gidun agree that each may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action.

Unless both you and Gidun agree otherwise, the arbitrator may not consolidate the claims of more than one person and may not preside over any form of class or representative proceeding.

If a court or arbitrator determines that the class action waiver in this section is unenforceable as to certain claims, then the arbitration agreement will be unenforceable as to those claims, which instead may proceed in court, subject to the remaining provisions of this section.

21.5 Court proceedings where arbitration does not apply

If arbitration does not apply to a particular dispute, either because it is excluded, because the arbitration agreement is held unenforceable, or because you have a right to bring claims in a small claims court and choose to do so, then such dispute may be brought only in the courts of the Province of Ontario located in Toronto, except where non waivable consumer protection laws require a different forum.

You and Gidun consent to the personal jurisdiction of such courts for such proceedings, subject to any rights you may have under applicable law to bring claims in the courts of your home jurisdiction as a consumer.

22. Changes to the Platform and to These Terms

22.1 Changes to the platform

Gidun may modify, update or discontinue all or part of the platform at any time. This may include adding or removing features, changing the appearance or structure of the site and updating technologies used.

Gidun will usually try to implement changes in a way that maintains overall usability and value for users, but Gidun cannot guarantee that particular features or services will remain available.

22.2 Changes to these Terms of Service

Gidun may revise these Terms of Service from time to time.

When changes are made, Gidun will update the date at the top of the Terms of Service and will take reasonable steps to inform you, which may include

  • Sending an email to the address associated with your account
  • Displaying a notice within the platform
  • Using other appropriate methods of communication

Gidun will make reasonable efforts to provide notice before material changes take effect.

Your continued use of the platform after the date on which the revised Terms of Service become effective will constitute your acceptance of the revised terms. If you do not agree with the changes, you must stop using the platform and may close your account.

Changes will not apply retroactively to disputes or events that arose before the effective date of the revised terms, unless the law requires otherwise.

23. Termination and Account Closure

23.1 Your right to close your account

You may stop using the Gidun platform at any time. You may close your account by following the instructions in your account settings or by contacting Gidun through the contact page.

If you close your account, you remain responsible for all obligations arising from your activity before closure, including payment for outstanding orders, returns and any obligations that arise under the seller terms or affiliate terms if you are also a seller or affiliate.

23.2 Gidun right to suspend or terminate

As described earlier, Gidun may suspend, restrict or terminate your account or your access to the platform at any time, with or without notice, in circumstances that include

  • Suspected or confirmed violation of these Terms of Service or other policies
  • Fraud, abuse or harmful behavior
  • Legal or regulatory requirements
  • Operational or security considerations

Where appropriate, Gidun may provide reasons for the action and information about any options to appeal, but Gidun is not obligated to do so in all cases.

23.3 Effects of termination

Upon termination or closure of your account

  • Your right to use the platform will cease
  • Gidun may delete or disable access to your account data, subject to obligations to retain certain data for legal or business reasons
  • Certain provisions of these Terms of Service will continue to apply, including those related to limitations of liability, indemnification and dispute resolution

24. Miscellaneous Provisions

24.1 Entire agreement

These Terms of Service, together with the documents and policies referenced in them, constitute the entire agreement between you and Gidun regarding your use of the platform as a customer.

They supersede any prior agreements or understandings between you and Gidun regarding the same subject matter, whether written or oral.

24.2 Assignment

You may not assign, transfer or delegate any of your rights or obligations under these Terms of Service without the prior written consent of Gidun.

Gidun may assign these Terms of Service or any rights and obligations under them, in whole or in part, to any affiliate or in connection with a merger, acquisition, corporate reorganization or sale of assets, or by operation of law.

24.3 No waiver

The failure of Gidun to enforce any provision of these Terms of Service will not be considered a waiver of that provision or of any other provision.

Any waiver of rights must be in writing and signed by an authorized representative of Gidun.

24.4 Severability

If any provision of these Terms of Service is found to be invalid, illegal or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

24.5 Headings and interpretation

Headings in these Terms of Service are provided for convenience and do not affect their interpretation.

References to including mean including without limitation.

24.6 Relationship of the parties

Nothing in these Terms of Service creates a partnership, joint venture, agency, employment or franchise relationship between you and Gidun.

You are an independent user of the platform. Sellers and affiliates are independent contractors and are not employees or agents of Gidun.

24.7 Language

These Terms of Service are written in English. If they are translated into other languages, the English version will control in the event of any conflict, to the extent permitted by law.
