1. Introduction and agreement to these Seller Terms

These Seller Terms explain the conditions under which you may offer products for sale on the Gidun marketplace and use the tools and services that Gidun provides to sellers. They are intended to create a clear and consistent framework that protects buyers, sellers and Gidun while supporting a vibrant global market for unique and independent products. Because selling online involves legal responsibilities, these Seller Terms are detailed and you should read them carefully before listing anything for sale.

By applying to become a seller on Gidun, by activating or using a seller account, by listing any product, or by using any seller facing features of the Gidun platform, you agree that you are bound by these Seller Terms in addition to the Gidun Terms of Service and Privacy Policy. If you do not agree to these Seller Terms, you must not create or use a seller account. If at any time you can no longer comply with these Seller Terms, you must stop using the seller services and close or pause your seller account in line with the processes described here.

1.1 Relationship with the Gidun Terms of Service

These Seller Terms are a specific agreement that governs your role and responsibilities as a seller on Gidun. They work together with the general Terms of Service, which apply to all users of the Gidun website and services. In the event of any inconsistency between these Seller Terms and the Terms of Service regarding your seller activities, these Seller Terms will typically govern those seller specific issues, while the general Terms of Service will continue to apply to your use of the platform as a whole.

You remain a user of Gidun even when acting as a seller. This means that all rules about acceptable use, prohibited conduct, dispute resolution and other general topics in the Terms of Service continue to apply to you. These Seller Terms add obligations rather than replacing them. By using the seller features, you confirm that you have read and understood both documents.

1.2 Independent contractor status

When you use Gidun as a seller, you act as an independent business. You are not an employee, agent, legal representative or partner of Gidun, and no joint venture or franchise relationship is created by these Seller Terms. You are responsible for running your own business, including products, pricing, operations, compliance, employees and contractors.

Gidun provides a platform that connects sellers with buyers, processes payments, and offers certain tools and services. Unless Gidun specifically indicates that an item is sold directly by Gidun itself, the contract for sale is between you as the seller and the buyer. Gidun is not a party to the contract of sale for marketplace items, even though we may facilitate payment and customer support, and may administer returns and refunds as described in these Seller Terms.

2. Eligibility, seller registration and account structure

Before Gidun can allow a seller to offer products on the marketplace, we must be satisfied that the seller meets certain eligibility standards and has provided sufficient information to operate responsibly and lawfully. This section explains who can become a seller, what information is required and how seller accounts are structured. It is important that you provide accurate and complete information during registration and maintain it over time, because this information underpins trust and compliance on the platform.

Seller accounts on Gidun are designed to represent individual persons or single legal entities. While a single person or company may manage multiple brands with our approval, each seller account must relate to one clearly defined owner who is responsible for all activity under that account. Sharing accounts between unrelated businesses is not allowed, as it undermines traceability and accountability.

2.1 Who may become a seller

To become a seller on Gidun, you must be either an individual person with full legal capacity or a business entity properly organised under the laws of a country where you are allowed to operate. Individuals must generally be at least eighteen years of age. Where a local legal system allows minors above a specified age to engage in commercial activities with parental or guardian consent, Gidun may allow such minors to become sellers, provided that a parent or legal guardian actively supervises the account and accepts full responsibility for all activities and obligations.

You must confirm during registration that you have the authority to enter into binding contracts on behalf of yourself or your business, and that any person who interacts with Gidun seller tools on your behalf is properly authorised. Gidun may request documentation to confirm your identity, your age, your legal capacity or your corporate authority, and may refuse or terminate seller status if these requirements are not satisfied.

2.2 Information required for registration

When you apply to become a seller, you must provide accurate and complete information about yourself and, if applicable, your business. This may include your full legal name, trading name, business registration details, contact information, address, tax registration numbers, payment and payout information, and any other data that Gidun reasonably requires to evaluate your application and operate the marketplace.

You must keep all registration information up to date, including changes in address, contact details, ownership, management, authorised signatories and tax status. If your legal structure changes or you transfer your business, you must notify Gidun promptly and may be asked to complete a new verification process. You must not provide information that is false, misleading or incomplete, or use identification documents that do not belong to you or your business.

2.3 Separate accounts and multiple brands

Each seller account must represent a single legal entity or person. You may not allow unrelated persons or companies to operate under your account or to use your credentials to manage their own businesses on Gidun. However, if you operate multiple distinct brands under the same legal entity, you may request permission from Gidun to operate multiple seller accounts or brand profiles. Gidun may approve or refuse such requests at our discretion, including where we believe multiple accounts would create confusion or increase risk.

You are responsible for all actions taken under your seller account, whether undertaken by you personally or by other individuals to whom you give access. You must manage access to your account carefully, use strong credentials, and ensure that only authorised personnel can view or change sensitive information such as payout details and tax settings.

3. Verification, compliance checks and risk reviews

Given the global nature of Gidun and the wide variety of products that may be offered, Gidun must perform verification and risk assessments on sellers to protect buyers and to comply with legal and regulatory requirements. This section explains our verification practices, your obligations to cooperate and the circumstances under which Gidun may conduct ongoing or enhanced reviews.

Verification is not a one time event. Gidun may revisit your information any time we believe that risk has changed, that there is a compliance need or that information previously provided may no longer be accurate. Your willingness to cooperate with verification is a condition of continued access to seller tools.

3.1 Initial identity and business verification

Before activating a seller account, Gidun may conduct identity and business verification checks. This may include reviewing government issued identification, business registration documents, tax information, proof of address and other documentation. We may use third party services to assist with verification and compliance screening. By applying to be a seller, you authorise Gidun and our service providers to conduct these checks to the extent permitted by law.

We may refuse to approve a seller application where required information is not provided, where we cannot verify your identity or business details, where we believe your past or present activities create unacceptable risk, or where the nature of your products or intended use of the platform is incompatible with Gidun policies. Gidun is not required to explain the detailed reasons for refusing an application, although we may choose to do so at our discretion.

3.2 Ongoing verification and periodic reviews

Gidun reserves the right to request updated or additional information at any time during your use of the seller services. We may do this as part of periodic reviews, in response to changes in law or regulation, when you expand into new product categories or markets, when you reach certain transaction volumes or when we identify risk indicators such as unusual dispute rates or chargebacks.

You must cooperate with any reasonable request for information, documentation or clarification related to your identity, business, products, transactions, tax status or compliance. If you fail to provide requested information within a reasonable time, or if the information reveals issues that cannot be resolved to Gidun satisfaction, we may limit, suspend or terminate some or all of your seller privileges.

3.3 Jurisdictional and regional restrictions

Gidun may restrict access to seller tools from certain countries or regions due to legal, regulatory, sanctions or risk considerations. Even if you are personally able to operate legally in such regions, Gidun may still decide not to support seller activity there. We may also limit the ability of sellers in certain locations to sell to buyers in particular countries, for example where export or import controls, sanctions or other restrictions apply.

It is your responsibility to ensure that your operations on Gidun comply with all laws in the places where you are located, where you ship products and where your buyers are located. Gidun may use automated tools and manual review to monitor location related risks, but this does not relieve you of your own legal obligations.

4. Relationship between Gidun, sellers and buyers

Gidun is a marketplace that connects independent sellers with buyers around the world. It is important that all parties understand their roles and responsibilities. This section explains how contracts are formed, who is responsible for what and how Gidun participates in transactions. Clarity in this area helps manage expectations and reduces disputes.

Except where clearly indicated otherwise, Gidun is not the seller of products listed on the marketplace. Sellers are separate businesses acting in their own name and on their own account. Gidun facilitates the environment, processes payments and may assist with customer service, but does not assume the seller obligations for products sold by independent sellers.

4.1 Contracts of sale

When a buyer places an order for a product listed by an independent seller on Gidun, the contract for sale is formed between that buyer and that seller. The terms of that contract include the information presented on the product listing at the time of purchase, these Seller Terms, the buyer facing Terms of Service, the Shipping Policy, the Returns & Replacements and the Refund Policy, as well as any applicable mandatory consumer protection laws.

Gidun is not a party to that contract except for any separate commitments that Gidun may make directly to buyers in specific programs that are clearly marked as Gidun branded. Unless Gidun itself is identified as the seller of record for a particular product, all obligations relating to the product, including manufacturing, quality, safety, labelling, packaging, shipping, returns and warranty, rest with you as the seller.

4.2 Gidun role as platform and payment facilitator

Gidun provides the digital storefront, listing tools, search and discovery features, payment processing, and in some cases communication and customer support infrastructure. When a buyer pays for an order, Gidun or its payment partners generally collect funds from the buyer on your behalf and later remit the net amount due to you after deducting applicable fees, taxes and adjustments.

Gidun may hold funds temporarily for reasons such as fraud prevention, dispute resolution, chargebacks or regulatory checks. We may also process refunds to buyers and then recover the corresponding amounts from your seller balance or future payouts. While Gidun seeks to act fairly and consistently, the management of payments and balances is ultimately at our discretion as described later in these Seller Terms.

4.3 No agency or employment relationship

Nothing in these Seller Terms or in your use of Gidun creates an agency relationship where Gidun is your agent for entering into contracts or binding third parties. You do not have authority to speak or act on behalf of Gidun except as expressly authorised in writing, and you must not represent yourself as an agent, employee or representative of Gidun.

Likewise, Gidun does not act as your employer or as an employer of any person working in your business. You are solely responsible for your staff, contractors and suppliers, including all wages, benefits, insurance, tax and legal obligations that apply to them. You must not imply otherwise to buyers or to third parties.

5. Storefronts, branding and seller identity

Your storefront on Gidun reflects your brand and is an important part of the buyer experience. At the same time, it must be truthful, lawful and respectful of the rights of others. This section explains how seller identity and branding work on Gidun, what is allowed and how Gidun may intervene when there are problems.

Gidun wants to encourage creative and distinctive branding while preventing confusion and infringement. We retain the right to review and approve or reject seller names, logos and imagery where we consider them misleading, offensive or legally problematic.

5.1 Store names and descriptions

When you register as a seller, you must choose a store name and provide a description of your business. This information must be accurate, not misleading and consistent with your actual activities. You may not use names that impersonate Gidun, other sellers, well known brands or public figures. You must not suggest that you are officially endorsed by or affiliated with Gidun or any third party unless that relationship exists and is clearly disclosed.

Gidun may at any time require you to change your store name or description if we believe it is confusing, infringes the rights of others, violates our policies or is otherwise inappropriate. If you do not comply with such a request within a reasonable time, we may change or remove the store name ourselves, limit visibility of your store or suspend your seller account.

5.2 Logos, images and branding materials

You may upload logos, banners and other branding materials for use on your storefront and in your listings. By doing so, you confirm that you own or have sufficient rights to use these materials and that their use on Gidun does not infringe any copyright, trademark or other intellectual property rights of third parties.

You must not use logos or designs that are confusingly similar to those of Gidun or other well known brands. If Gidun receives a credible complaint or becomes aware that your branding materials violate rights or laws, we may remove or replace those materials, restrict your ability to upload new ones or require evidence of your rights. Repeated issues may lead to further enforcement measures.

5.3 Public display of seller identity

Gidun may display certain information about you as a seller to buyers, such as your store name, country, ratings, reviews and aggregated performance metrics. In some cases, and especially where local law requires it, Gidun may also display underlying business details such as your legal entity name or contact information in order to satisfy transparency requirements.

You must not attempt to conceal your identity in a way that violates law or Gidun policies. For example, operating multiple accounts to escape prior poor performance or enforcement, or deliberately misrepresenting your location to gain advantages, is prohibited. Gidun may take steps to link related accounts and act on them together when necessary.

6. Listings, product standards and prohibited items

Product listings are at the heart of the Gidun marketplace. Buyers rely on listings to make informed choices, and regulators use them as a reference for compliance. This section sets out your responsibilities for listing content, quality standards and restrictions on what may be offered for sale. It is essential that you follow these rules to protect buyers and to safeguard the integrity of the marketplace.

You are solely responsible for ensuring that every product you list is legal, safe and accurately described. Gidun provides tools and guidance, but does not assume the role of manufacturer, importer, licensor or legal advisor for your products.

6.1 Compliance with prohibited items rules

You must comply with Gidun rules on prohibited and restricted items. The full list of items that may not be sold on the marketplace is described in the Prohibited Items. This includes categories such as illegal drugs, weapons, items that require special licences to possess or use, counterfeit goods, dangerous products, certain adult or offensive materials and other items that Gidun chooses not to allow for ethical, legal or brand reasons.

You must review the Prohibited Items regularly and ensure that your listings comply. Gidun may update these rules at any time as laws and community expectations evolve. If you are unsure whether a product is allowed, you must contact Gidun for guidance before listing it. Gidun may remove any listing that we believe falls within or close to a prohibited category, even if you disagree.

6.2 Accuracy of product information

All product titles, descriptions, specifications, images, videos and other content must be honest, clear and not misleading. You must not exaggerate qualities, hide important limitations or omit information about material defects. You must present information in a way that a reasonable buyer can understand without needing specialised knowledge. Where items are used, refurbished or have specific conditions, you must describe this truthfully.

You are responsible for ensuring that any claims you make about performance, benefits, compatibility or other attributes are supported by evidence where required by law. Claims that relate to health, safety or regulated activities must be especially careful and should follow applicable guidance in the markets where you sell. Gidun may ask you to provide documentation or clarify information and may restrict or remove listings that appear unreliable.

6.3 Inventory accuracy and availability

You must maintain accurate inventory information for each listing so that items offered on Gidun are genuinely available for purchase. Products that are out of stock must not be presented as available and must either be updated or temporarily removed until stock is replenished. Repeated cancellation of orders due to lack of inventory is not acceptable and may lead to enforcement action.

If you offer made to order or pre order items, you must clearly inform buyers of the production or waiting time and ensure that such time frames are realistic. You must not misrepresent estimated handling or production times to attract orders that you cannot fulfil.

6.4 Gidun rights to manage listings

Gidun may at any time edit, hide, reclassify or remove listings for reasons including violation of these Seller Terms, the Terms of Service, the Prohibited Items, or any law or regulatory guidance. We may also adjust categories, search tags or other metadata to improve buyer experience and search quality.

Where feasible, Gidun will inform you when we take action on your listings and may provide a reason or guidance. However, we are not obligated to preserve any listing and may act immediately where we believe there is risk to buyers, to Gidun or to third parties. You must not attempt to re list removed products under different descriptions in order to circumvent these decisions.

7. Pricing, fees, taxes and invoices

Pricing is a central part of your commercial relationship with buyers and with Gidun. This section explains your responsibilities when setting prices, what fees Gidun charges to sellers, how tax obligations are handled and how invoices and records should be managed. Our aim is to ensure that buyers see clear and trustworthy pricing, while giving sellers the flexibility to operate their own pricing strategies within a fair framework.

You remain responsible for the commercial decisions you make regarding pricing and promotions. Gidun may provide tools and recommendations, but you decide whether to follow them and bear the consequences of your choices.

7.1 Seller control over prices

You are free to set the prices of your products on Gidun, subject to compliance with applicable price control laws and with these Seller Terms. Prices you display must be inclusive of all charges that are under your control, such as product cost, packaging and any mandatory charges that are not calculated separately at checkout. Estimated shipping costs calculated at checkout with carriers or integrators may be shown separately.

You must not engage in discriminatory pricing based on protected characteristics such as race, gender, religion or other attributes protected under applicable law. You may choose to adjust prices based on legitimate commercial factors such as demand, seasonal variation, cost changes or promotional strategies, provided that changes are not deceptive or unfair.

7.2 Honouring displayed prices and terms

You must honour the price and material terms displayed on the listing at the time the buyer places an order. You may not refuse to fulfil an order solely because you later believe that the price was too low, that demand is higher than expected, or that you could sell the item for more elsewhere. Obvious technical errors that result in clearly incorrect prices may be addressed through cancellations where law allows, but such situations should be rare and you must notify Gidun and the buyer promptly.

Any conditional terms, such as minimum quantities, bundle conditions or time limited offers, must be clearly disclosed in the listing. You may not retrospectively impose new conditions on orders that have already been placed.

7.3 Gidun fees and other charges

Gidun charges fees to sellers for the use of the marketplace and related services. These may include transaction based fees on each completed order, subscription fees for enhanced seller plans, fees for advertising or sponsored placements, and other charges for optional tools or services. The current fee structure is communicated to sellers through the seller dashboard or other official Gidun documentation.

By using Gidun, you agree that Gidun may deduct applicable fees, as well as any chargebacks, refunds or adjustments described elsewhere in these Seller Terms, from the amounts collected from buyers before remitting the net balance to you. Gidun may change fees in the future, and will provide reasonable notice to active sellers where increases apply. Continued use of the seller services after such changes take effect constitutes acceptance of the new fees.

7.4 Taxes and tax reporting

You are responsible for determining and meeting your own tax obligations arising from sales on Gidun. This includes income tax, value added tax, goods and services tax, sales tax and any other tax that may apply in the jurisdictions where you operate. You must keep accurate records of your transactions and report and pay taxes as required by law.

In some jurisdictions, Gidun may be required or permitted to collect and remit certain taxes on your behalf, such as marketplace facilitator sales taxes. Where this occurs, Gidun may calculate and collect such taxes at checkout, remit them to the relevant authorities and provide you with information for your records. This does not relieve you of responsibility for other taxes not collected by Gidun.

7.5 Invoices and documentation

You may be required by law to provide buyers with invoices or receipts that reflect the details of their purchase. Where Gidun provides tools to generate invoices, those tools are offered for convenience and do not constitute tax or legal advice. You must ensure that invoices meet any legal requirements in the buyer jurisdiction and in your own jurisdiction.

If you issue invoices outside of Gidun tools, you must not use those invoices to steer buyers into off platform transactions or to present different terms from those agreed on the marketplace. You must also ensure that any taxes shown are accurate and properly handled.

8. Orders, fulfilment and customer service

When a buyer places an order on Gidun, they are entitled to expect that their order will be processed promptly, handled with care and supported by good customer service. This section sets out your obligations in handling orders, including acceptance, order changes, cancellations, and communication with buyers. Fulfilling orders reliably is a core expectation of sellers and a key factor in account health.

Gidun may provide tools to help manage these processes, but you are ultimately responsible for using them correctly and for delivering the level of service reflected in your listings and metrics.

8.1 Order acceptance and processing

Unless an order clearly cannot be fulfilled due to reasons such as the product being prohibited, illegal, clearly mispriced due to a rare technical glitch or otherwise impossible, you are expected to accept and process all valid orders placed for your listings. You must maintain sufficient inventory and operational capacity to honour orders as they come in.

You must confirm or process orders within the handling time specified in your listings. If you foresee a delay, you must update any status fields where possible, and communicate through Gidun messaging tools where appropriate. You may not unilaterally change the core terms of an order, such as product type or quantity, without the buyer consent.

8.2 Handling times and processing standards

You must provide realistic handling time estimates in your listings and ensure that they reflect your actual operations. Handling time is the period between order placement and when you hand the package to the carrier with tracking. Repeated failure to meet handling time commitments can negatively impact your account performance and may lead to reduced visibility or enforcement action.

You are expected to package orders securely and appropriately for the nature of the products and the shipping method. Packaging must minimise the risk of damage, leakage or contamination and comply with any specific packaging rules for regulated goods.

8.3 Order changes and cancellations

Buyers may sometimes request changes or cancellations after placing an order. Gidun may provide tools that allow such actions up to certain stages of processing. You must respect Gidun rules and reasonable buyer requests as long as the order has not progressed beyond a point where changes are infeasible, such as after shipment.

If you need to cancel an order for reasons within your control, such as lack of stock or operational problems, you must do so promptly and honestly explain the reason. Frequent seller initiated cancellations are a serious issue and may lead to penalties or suspension. You may not require buyers to cancel and reorder outside of Gidun to avoid fees or to bypass marketplace protections.

8.4 Customer service expectations

You must provide responsive and respectful customer service to buyers. When buyers contact you through Gidun messaging tools regarding orders, product questions, returns or other issues, you must respond within a reasonable time frame. Gidun may publish or enforce target response times, and poor responsiveness may affect your ratings and account health.

You must not harass, abuse, threaten, insult or discriminate against buyers or other users. You must remain professional even in difficult or contentious situations. If you believe a buyer is acting in bad faith, you should contact Gidun through appropriate support channels rather than engaging in hostile conversations.

9. Shipping, delivery and risk of loss

Shipping and delivery are crucial parts of the buyer experience and involve legal responsibilities for handling, risk and timing. This section explains your obligations related to shipping, the use of tracking and the point at which the risk of loss passes. It also ties seller responsibilities to the Gidun Shipping Policy, which sets platform wide standards and information for buyers.

While Gidun may integrate shipping tools or carriers, you remain responsible for the fulfilment and delivery of your orders, except where Gidun explicitly offers and you enrol in a fulfilment service operated by Gidun.

9.1 Seller responsibility for shipping

Unless explicitly stated otherwise in a separate agreement, you are responsible for arranging and paying for shipping methods that are consistent with the choices presented to the buyer at checkout. You must use carriers that are reasonably reliable and appropriate for the nature and value of the products and destinations involved.

You must comply with the Shipping Policy and with any carrier rules and laws governing packaging, labelling, customs declarations and prohibited transport items. Failure to follow these requirements can lead to customs problems, delays and loss of buyer trust, and may result in enforcement action on your account.

9.2 Use of tracking and delivery confirmation

Wherever reasonably available, you must use shipping methods that provide tracking numbers and delivery confirmation. You must enter tracking information into the Gidun systems in a timely manner so that buyers can monitor progress. Tracking data is also used to assess whether shipments were delivered on time and to resolve disputes about non delivery.

If you fail to provide tracking, you may be at a disadvantage when dealing with lost package claims. Gidun may consider the absence of tracking as a factor when deciding how to handle buyer complaints or refund requests.

9.3 Cross border shipments and customs

You may ship products internationally, subject to applicable laws and restrictions. When you do so, you are responsible for complying with export laws in your country and for accurately completing customs documentation for the products. You must describe contents truthfully and provide accurate declared values.

Generally, buyers are responsible for paying customs duties, import taxes and any related fees in their country. Your listings must make it clear that such charges, if any, are payable by buyers to their local authorities or carriers. Gidun may provide tools to estimate these amounts, but such estimates are not guaranteed. You must not misrepresent products as gifts or undervalue shipments in order to avoid customs charges.

9.4 Risk of loss and delivery issues

Risk of loss for a product typically remains with you until the product has been delivered to the buyer or to another person designated by the buyer, except where applicable law provides otherwise. When a package is lost, damaged or not delivered, Gidun will consider information from tracking, carrier investigations and buyer reports to determine whether a refund or replacement is appropriate and who should bear the cost.

You must cooperate with carriers and Gidun in investigating delivery issues. If you fail to ship, ship to the wrong address or use an unsuitable shipping method, you may be held responsible for the resulting losses or refunds.

10. Returns, replacements, refunds and cancellations

A clear and reliable framework for returns and refunds is essential for buyer confidence and fairness to sellers. Gidun uses a combination of global policies and seller commitments to manage this process. This section describes how you must handle returns, replacements, refunds and order cancellations and how these obligations interact with the Returns & Replacements and Refund Policy.

Gidun may administer returns and refunds centrally, but you remain responsible for the underlying obligations to buyers, including providing products that are as described and free from defects, subject to any lawful limitations.

10.1 Compliance with global return and refund policies

You must comply with the Gidun Returns & Replacements and Refund Policy for all eligible orders. These policies set minimum platform standards for situations such as items not received, items significantly not as described, damaged goods and other scenarios. Local mandatory consumer rights may provide buyers with additional rights beyond these policies, and you must honour those rights where applicable.

You may propose stricter conditions for specific products, such as making certain items non returnable due to hygiene reasons or customisation, but only where permitted by law and only if these conditions are clearly disclosed on the product listing before purchase. You may not adopt return or refund terms that are less favourable to buyers than the minimum standards in the Returns & Replacements and Refund Policy.

10.2 Seller responsibilities in return handling

When a buyer initiates a return within the applicable time window, you must follow the procedures defined in the Gidun systems and policies. This may include providing a return address, instructions for packaging, and in some cases prepaid labels where required by law or policy. You must process returned items promptly upon receipt and decide whether to issue a refund, replacement or repair in line with the policies and the condition of the returned goods.

You may not unreasonably delay or refuse returns that meet the requirements. Gidun may intervene and decide the outcome if there is a dispute about whether conditions have been met.

10.3 Refunds and financial adjustments

Gidun may process refunds directly to buyers and then recover the reimbursed amount, along with any associated fees, from your seller balance or future payouts. In some cases, Gidun may share the cost of refunds or make adjustments based on our programs and the circumstances. You agree that Gidun may make such adjustments at our discretion within the framework of these Seller Terms and platform policies.

If a buyer is entitled to a refund under law or policy, you must not condition that entitlement on the buyer waiving rights or accepting unfair conditions. You may request that buyers follow proper procedures, such as returning items, but you must act reasonably and consistently.

10.4 Order and return fraud

Gidun recognises that fraudulent behaviour can occur on both the buyer and seller side of transactions. You must not engage in practices that exploit return policies, such as sending different items from those advertised, refusing legitimate returns or claiming that returned goods were not received when they were. If you suspect buyer fraud, you should report it to Gidun with evidence rather than taking unilateral retaliatory actions or refusing to follow policies.

Gidun may use risk tools, data analysis and manual review to detect and address refund and return abuse. Where we determine that you have engaged in abusive behaviour, we may hold funds, impose additional reserves, restrict your account or terminate your seller relationship.

11. Payments, payouts and balance management

Financial flows between buyers, Gidun and sellers are critical to the functioning of the marketplace. This section explains how payments are processed, how and when you receive payouts, and how Gidun may manage your seller balance to address fees, refunds, chargebacks and risk reserves. Understanding this structure helps you plan your cash flow and comply with financial obligations.

Gidun generally acts as the initial recipient of buyer payments, working with payment providers such as card processors and digital wallets. You receive funds from Gidun, not directly from buyers, in accordance with these Seller Terms.

11.1 Collection of payments from buyers

When a buyer places an order, Gidun or our payment partners accept payment on your behalf. The buyer may pay by card, digital wallet or other methods that Gidun supports. The payment is processed in accordance with the payment provider rules and applicable law. In some cases, payments may be captured immediately, while in others they may be authorised and captured only when you confirm shipment.

You acknowledge that payments are subject to risks such as fraud, chargebacks and reversals. Gidun may delay acceptance of high risk orders, request additional verification from buyers or sellers, or cancel orders where payment issues cannot be resolved.

11.2 Payouts to sellers

Gidun will credit your seller account for completed orders and periodically transfer funds to your designated payout method, such as a bank account, subject to any holds, reserves, fees and adjustments. The timing and frequency of payouts may depend on your location, your transaction history, risk profile and the capabilities of our payment partners.

You must provide accurate payout details and keep them up to date. Gidun is not responsible for losses arising from incorrect payout information that you provide, such as sending funds to an outdated or incorrect account. If a payout attempt fails, Gidun may hold the funds until you update your details or take other steps to resolve the issue.

11.3 Holds, reserves and delayed payouts

Gidun may hold a portion of your funds as a reserve or delay payouts where we reasonably believe that this is necessary to cover potential chargebacks, refunds, disputes, fees or regulatory obligations. Factors that may influence our decision include high dispute or chargeback rates, sudden spikes in volume, high risk product categories, incomplete verification, negative account history or information from payment partners.

We may maintain reserves for a defined period and then release remaining funds once risk diminishes, or we may adjust the reserve amount as circumstances change. While we aim to act fairly, the decision to create or adjust reserves rests with Gidun and is part of the risk management inherent in operating the marketplace.

11.4 Chargebacks and negative balances

Buyers may dispute transactions with their card issuers or payment providers, which can result in chargebacks. When a chargeback occurs, Gidun may be debited by the payment provider for the transaction amount and associated fees. You are responsible for these costs where the chargeback relates to your orders.

Gidun may deduct chargeback amounts and fees from your current balance or from future payouts. If your seller account balance becomes negative, you must promptly pay the amount owed. Gidun may attempt to recover funds through your payout method or other means allowed by law and these Seller Terms. Persistent negative balances may lead to suspension or termination of your seller account.

12. Reviews, ratings and user generated content

Reviews and ratings provide important information to buyers and help maintain quality standards on Gidun. They also reflect your performance and customer experience. This section explains how reviews may be used and what you may and may not do in relation to them. It also touches on other user generated content associated with your store and listings.

Gidun aims to maintain reviews that are genuine, relevant and respectful. Manipulation of reviews undermines trust and is strictly prohibited.

12.1 Buyer reviews and ratings

Buyers may leave reviews and ratings on your products and overall service. Gidun may display these on product pages, store pages and in other placements. While you may disagree with some reviews, you must accept that buyers have the right to express their opinions, provided they do so within the rules of the platform and applicable law.

Gidun may moderate reviews that contain hate speech, threats, explicit content or other material that violates platform rules, but we are not obligated to remove reviews simply because they are negative or critical. If you believe a review is fraudulent, irrelevant or violates policies, you may report it to Gidun for review.

12.2 Prohibition on review manipulation

You must not manipulate reviews in any way. Prohibited behaviour includes writing your own reviews, asking employees or friends to post biased reviews, offering incentives in exchange for positive feedback, threatening buyers to prevent negative reviews, or selectively encouraging only satisfied buyers to leave reviews while discouraging others.

If Gidun detects review manipulation, we may remove affected reviews, adjust scores, restrict your ability to receive or respond to reviews and take enforcement actions on your account. Serious or repeated manipulation may lead to suspension or termination.

12.3 Use of seller content by Gidun

By uploading product descriptions, images, videos, logos and other content to Gidun, you grant Gidun a worldwide, non exclusive, royalty free licence to use, reproduce, adapt, display, perform and distribute that content in connection with operating, improving and promoting the marketplace. This includes using your content in on site placements, newsletters, advertising and social media campaigns that highlight products and sellers on Gidun.

This licence remains in effect while your content is on the platform and for a reasonable period after removal to allow for backup, caching and orderly phasing out of promotional materials. You remain the owner of your content and may use it elsewhere, subject to the rights of any third party involved.

13. Use of communications tools and off platform conduct

Gidun provides messaging and communication tools that allow buyers and sellers to discuss products, clarify details and resolve issues. Proper use of these tools is crucial for safety and for maintaining transactions on the platform. This section outlines how you must use Gidun communication channels and what is prohibited.

Gidun expects sellers to conduct themselves professionally in all communications on and about the platform, including on external forums and social media when discussing buyers or Gidun.

13.1 Use of Gidun messaging tools

You must use Gidun messaging tools primarily for matters related to Gidun transactions, such as answering product questions, clarifying shipping details, handling returns and addressing concerns. You must not use messaging tools to send spam, unrelated marketing or irrelevant content to buyers.

Messages must be respectful, clear and free of harassment, threats or discriminatory remarks. You may not send content that is unlawful, explicit or otherwise violates Gidun policies. Gidun may monitor or review messages as permitted by law to enforce policies, enhance security and improve services.

13.2 Prohibition on off platform transactions and contact

You must not encourage or request that buyers complete purchases outside of Gidun. This includes sharing contact details such as email addresses, phone numbers, direct payment instructions or external website links for the purpose of bypassing Gidun checkout, fees or buyer protections. You must not ask buyers to cancel Gidun orders and reorder directly from you or from other websites.

Off platform transactions that arise from Gidun leads undermine the marketplace and can expose buyers to greater risk. If Gidun discovers that you are diverting buyers off platform, we may restrict or terminate your account, withhold payouts and take other steps to protect the marketplace.

13.3 Public communications about buyers and Gidun

When you discuss your business, buyers or Gidun on social media or in public forums, you must respect privacy and confidentiality. You must not share personal information about specific buyers, such as names, addresses or contact details, and you must not engage in public harassment, doxxing or other harmful behaviour.

You may share your own experiences and opinions about Gidun, including constructive criticism, but you must not misrepresent facts or falsely claim that you speak on behalf of Gidun. If you participate in official marketing or promotional programs with Gidun, separate guidelines may apply.

14. Intellectual property, licences and brand use

Intellectual property is central to many products and brands on Gidun. This section sets out your responsibilities in relation to intellectual property rights, both your own and those of others, and explains how Gidun may use your brand and content.

Respect for intellectual property helps protect creativity and innovation and reduces the risk of expensive disputes and enforcement actions.

14.1 Seller warranties about intellectual property

You represent and warrant that you have all necessary rights, licences and permissions to sell the products you list on Gidun and to use any content you upload, including product images, logos, text and other materials. Your products and content must not infringe any copyright, trademark, design right, patent, trade secret or other intellectual property rights of any person or entity.

If your products include third party intellectual property, such as licensed artworks or branded components, you must ensure that your use and sale of those items complies with the relevant licences and laws. You must not list items that are counterfeit, unauthorised replicas or otherwise infringing.

14.2 Handling intellectual property complaints

Gidun may receive notices from rights holders alleging infringement by seller listings or content. When such notices appear credible, Gidun may remove or disable access to the allegedly infringing material and notify you, in line with applicable legal frameworks and our internal procedures.

You may have an opportunity to dispute a complaint or to provide counter notices where permitted by law. However, repeated or serious intellectual property violations may result in more decisive actions, including suspension or termination of your seller account. You are responsible for any legal consequences arising from your infringement of third party rights and must resolve disputes directly with rights holders where appropriate.

14.3 Use of Gidun brand and guidelines

Gidun owns rights in its brand, logo, designs, software and other materials. You may not use the Gidun name or logo in a way that implies you are an official part of Gidun or that your products are endorsed by Gidun, unless you have written permission and follow any brand guidelines that Gidun publishes. If Gidun provides brand assets and guidance through brand materials, you must use them only in the manner allowed there.

You must not register domain names, social media accounts or other identifiers that incorporate the Gidun name or other protected elements in a way that creates confusion or infringes our rights.

14.4 Licence granted to Gidun

As described earlier, you grant Gidun a licence to use your content on and in connection with the marketplace. This includes using your store name, logos, product images and descriptions in search results, category pages, promotional blocks, newsletters, social posts and other marketing and informational materials that highlight Gidun and its sellers.

This licence is non exclusive and does not limit your ability to use your content elsewhere. However, you must recognise that once content is used in marketing, it may remain visible or cached for a period even after you change or remove it from your listings. Gidun will take reasonable steps to update promotional materials over time but cannot guarantee immediate removal in every context.

15. Data protection, confidentiality and security

Gidun handles personal data of buyers and sellers in accordance with the Privacy Policy. As a seller, you also receive and process certain personal data of buyers, such as names, addresses and order details. This section clarifies your responsibilities in relation to that data, as well as confidentiality and security obligations more generally.

Proper handling of personal data and confidential information is essential for maintaining trust and complying with data protection laws in many jurisdictions.

15.1 Use of buyer data

You may use buyer personal data that you obtain through Gidun only for the purpose of fulfilling orders, providing customer service related to those orders, complying with legal obligations and performing limited analysis that is compatible with those purposes. You must not use buyer data for unrelated marketing, profiling or sharing with third parties, unless expressly allowed by law and Gidun policies and where appropriate consents have been obtained.

You must not export buyer contact information into external marketing tools for campaigns unrelated to the specific transactions, and you must not sell or disclose buyer data to other parties except as necessary to perform order fulfilment tasks such as shipping.

15.2 Protection of personal data

You must implement reasonable security measures to protect buyer data under your control against loss, misuse, unauthorised access, disclosure, alteration or destruction. This includes limiting access to personnel who need the information for their duties, using secure storage and transmission techniques and disposing of records when they are no longer needed and retention is not legally required.

If you become aware of a security incident that affects buyer data obtained through Gidun, you must notify Gidun promptly via appropriate contact channels and cooperate in any investigation or remediation efforts as required by law and Gidun policies.

15.3 Confidentiality of platform information

You may receive non public information about Gidun systems, algorithms, enforcement approaches, planned features or other internal matters. You must treat this information as confidential and must not disclose it to third parties or use it for purposes beyond operating your business on Gidun. This includes not reverse engineering, probing or misusing internal systems to gain unfair advantages or to circumvent rules.

Gidun may share insights or metrics with you to help improve your performance. These remain subject to any confidentiality statements that accompany them and may not be shared in ways that harm other sellers or the marketplace.

16. Performance standards, account health and enforcement

To maintain a safe and reliable marketplace, Gidun sets performance standards for sellers, monitors compliance and takes action when standards are not met. This section explains how account health is evaluated and what happens when there are issues.

Performance standards are intended not as punishment, but as a way to ensure that buyers receive the level of service they expect and that sellers compete on a fair and predictable basis.

16.1 Performance metrics and expectations

Gidun may monitor metrics such as order defect rates, late shipment rates, cancellation rates, dispute and chargeback rates, response times to buyer messages, and compliance with listing and content policies. We may communicate performance targets or threshold values, and may provide dashboards or reports showing how your account compares with these benchmarks.

Meeting or exceeding these standards helps increase buyer trust and may lead to better visibility in search and promotions. Persistently poor performance may lead to restrictions, reduced visibility, or more serious enforcement actions.

16.2 Warnings, holds and restrictions

When your account falls below performance expectations or violates policies, Gidun may issue warnings and guidance on how to improve. In some cases, we may immediately impose restrictions, such as limits on listing new products, temporary holds on payouts or reduced placement in search and recommendations, especially where there is a risk of harm to buyers.

We may request that you submit a plan of action explaining the causes of problems and steps you will take to resolve them. Your willingness and ability to address issues promptly is one factor we consider when deciding whether to maintain or escalate restrictions.

16.3 Suspension and termination

In more serious cases, such as repeated policy violations, serious fraud, sale of prohibited items, unlawful conduct, non cooperation with verification or extreme performance problems, Gidun may suspend or terminate your seller account. Suspension typically means that you may not list new products or accept new orders, though you may be required to fulfil existing orders and cooperate with outstanding returns and refunds. Termination means the permanent end of your ability to sell on Gidun, subject to any obligations that survive termination.

Gidun may act quickly where we believe immediate action is needed to protect buyers, other sellers or the integrity of the platform. In some cases, we may act without prior notice. We may choose, but are not required, to provide explanations or opportunities to appeal a suspension or termination.

17. Warranties, disclaimers and limitation of liability

As a seller, you make certain promises to buyers and to Gidun about your products and your conduct. Gidun also provides services to you, but with certain limitations on our responsibilities. This section sets out these warranties and limitations from the perspective of the seller relationship.

These provisions are designed to allocate risks in a fair and commercially reasonable manner and to reflect the fact that Gidun operates a platform that hosts many independent sellers.

17.1 Seller warranties toward Gidun

You warrant to Gidun that:

  1. You have the right, power and authority to enter into these Seller Terms and to perform your obligations.
  2. You operate a lawful business and comply with all applicable laws, regulations and codes of practice in the jurisdictions where you operate and where you ship.
  3. All information you provide to Gidun, including registration details, verification documents, product information and communications, is truthful, complete and not misleading.
  4. Your products are safe when used as intended and comply with all applicable safety, labelling and quality standards.
  5. Your use of the Gidun platform, including your products and content, does not infringe the rights of any third party.

17.2 Gidun services provided as is

To the extent permitted by law, Gidun provides the seller services on an as is and as available basis. We do not guarantee that the platform will be uninterrupted, error free, free of harmful components, or that analytics, promotions or other tools will produce particular commercial results for you. We also do not guarantee that buyers will purchase your products or that your business will reach any specific level of success.

You acknowledge that technology systems may experience outages or delays and that some aspects of the marketplace, such as search rankings and recommendations, may change over time as we refine our algorithms and features.

17.3 Limitation of Gidun liability to sellers

To the fullest extent permitted by law, the total liability of Gidun and its directors, officers, employees and affiliates to you in connection with the seller services, these Seller Terms and your use of the platform is limited to an amount equal to the total fees you have paid to Gidun during a defined period, for example the twelve months preceding the event giving rise to the claim.

Gidun is not liable for indirect, incidental, consequential, special or punitive damages, including loss of profits, loss of revenue, loss of business opportunities or loss of data, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow all of these limitations, so certain aspects may not apply to you. These limitations do not exclude liability for matters that cannot be limited by law, such as some forms of intentional misconduct.

18. Indemnity and insurance

Because you control your products and business operations, you must bear responsibility for claims and losses arising from them. This section explains your obligation to indemnify Gidun and the expectation that you maintain appropriate insurance where necessary.

Indemnity provisions allocate responsibility when third parties make claims, such as buyers, regulators or rights holders.

18.1 Seller indemnity to Gidun

You agree to indemnify, defend and hold harmless Gidun and its directors, officers, employees, affiliates and service providers from and against any claims, demands, losses, damages, costs and expenses, including reasonable legal fees, arising out of or relating to:

  1. Your products, including design, manufacture, labelling, packaging, instructions, warnings and defects.
  2. Your content, including alleged infringement of intellectual property or other rights.
  3. Your use of the Gidun platform in violation of these Seller Terms, the Terms of Service or applicable law.
  4. Your failure to comply with tax obligations, regulatory requirements or consumer protection rules.
  5. Any dispute between you and a buyer or between you and another seller or third party that is not caused by Gidun misconduct.

This indemnity applies to claims brought by buyers, regulators, rights holders and other third parties. Gidun may choose its own legal representation in such matters and control the defence and settlement, while you cooperate and provide necessary information.

18.2 Insurance requirements

Depending on your transaction volume, product categories and risk profile, Gidun may require you to maintain appropriate business and product liability insurance with coverage limits that we consider reasonable. We may request proof of such insurance, including certificates and policy summaries, and may require that Gidun be named as an additional insured where appropriate.

Failure to obtain or maintain required insurance, or to provide evidence when requested, may result in restrictions or termination of your seller account. Even when not expressly required by Gidun, you are strongly encouraged to maintain insurance suitable for your activities, as this can protect you and Gidun from financial exposure in the event of claims.

19. Termination, suspension and closure of seller accounts

There may come a time when you or Gidun wishes to end your participation as a seller on the marketplace. This section explains how termination and suspension work and what obligations continue even after your account ceases to be active.

Ending a seller relationship does not automatically end all responsibilities. Certain obligations, such as handling refunds or indemnity, may survive for a period.

19.1 Seller initiated closure

You may request closure of your seller account at any time by following the procedures in the seller dashboard or by contacting support. Before closing, you must fulfil all outstanding orders, resolve all open disputes, process pending returns and refunds and ensure that there are no negative balances. Gidun may delay final closure until these matters are resolved.

After closure, you may no longer list products or accept orders. Some information, such as order history and financial records, may be retained by Gidun for legal, regulatory or operational reasons as described in the Privacy Policy.

19.2 Gidun suspension or termination

Gidun may suspend or terminate your seller account in accordance with the enforcement provisions discussed earlier. Reasons for suspension or termination can include serious policy violations, fraud, sale of prohibited items, non payment of amounts owed, non cooperation with verification, legal orders or other significant risk factors.

In case of suspension, some functions may be limited while others remain active to allow completion of existing obligations. In case of termination, you must stop using all seller features and must not attempt to create new seller accounts without Gidun permission.

19.3 Effect of termination

Upon termination or closure of your seller account:

  1. Listings associated with your account may be removed or hidden.
  2. You must cease using any seller tools or misrepresenting yourself as a Gidun seller.
  3. Outstanding obligations to buyers and to Gidun remain, including returns, refunds, chargebacks, fees and indemnity obligations.
  4. Gidun may continue to hold or disburse funds relating to past transactions as necessary to handle refunds, chargebacks and regulatory requirements.

Some provisions of these Seller Terms, including those relating to intellectual property licences, confidentiality, indemnity, limitation of liability, dispute resolution and governing law, will continue to apply even after termination.

20. Governing law, dispute resolution and interpretation

These Seller Terms form a legal agreement between you and Gidun. It is important to specify how disputes will be handled and which law applies. This section sets out the governing law and dispute resolution process, consistent with the framework used in the Terms of Service.

Our goal is to resolve disputes efficiently and fairly, starting with informal communication and escalating only when necessary.

20.1 Governing law

These Seller Terms and any disputes or claims arising out of or in connection with them, including non contractual disputes or claims, are governed by the laws of the province of Ontario, Canada and the applicable laws of Canada, without regard to conflict of law principles that would result in the laws of any other jurisdiction being applied.

You agree that this choice of law is appropriate given that Gidun is based in Canada and that the core platform operations are managed from there.

20.2 Informal dispute resolution

Before commencing formal proceedings, you and Gidun agree to attempt in good faith to resolve any dispute through informal discussions. You must contact Gidun through appropriate support or legal channels, provide a clear description of your concern and relevant information, and allow a reasonable time for Gidun to respond.

Similarly, if Gidun believes there is a dispute, we may contact you using the contact information in your account to seek resolution. Many issues can be resolved at this stage through clarification or corrective actions.

20.3 Arbitration and court proceedings

If a dispute cannot be resolved informally within a reasonable period, it may be submitted to binding arbitration or to the courts in Ontario, Canada, in accordance with the dispute resolution framework set out in the Terms of Service. By accepting these Seller Terms, you agree to that framework, which may include waiving certain rights to participate in class actions or to have matters decided by a jury, where such waivers are enforceable.

Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect rights or prevent irreparable harm, pending final resolution through arbitration or court proceedings.

20.4 Interpretation and severability

If any provision of these Seller Terms is found by a court or arbitrator to be invalid, unlawful or unenforceable, that provision shall be interpreted, limited or severed to the extent necessary so that the remaining provisions remain in full force and effect. The failure of Gidun to enforce any right or provision at any time does not constitute a waiver of that right or provision in future.

21. Changes to these Seller Terms and communication with sellers

Online marketplaces evolve over time as laws change, business models develop and new features are added. This section explains how Gidun may update these Seller Terms and how we will communicate important changes to you. Staying informed about updates is a shared responsibility between Gidun and sellers.

We aim to make changes in a transparent and reasonable manner, giving sellers time to understand and adapt to new requirements.

21.1 Right to modify Seller Terms

Gidun may modify these Seller Terms from time to time. Modifications may reflect new legal requirements, new or improved features, changes in risk management practices or adjustments to better support buyers and sellers. The updated Seller Terms will be posted on Gidun, and the date at the top of the document will be changed to reflect when they take effect.

In some cases, we may introduce additional seller policies that supplement these Seller Terms and explain specific topics in more detail. Those policies will form part of the overall agreement between you and Gidun when you use the seller services.

21.2 Notice of material changes

For material changes that significantly affect your rights or obligations, Gidun will provide reasonable notice, which may include notifications in the seller dashboard, email messages to the primary contact address associated with your account, or banners on the Gidun site. We may also require you to accept updated terms in the seller interface before you continue to use certain features.

If you do not agree with the updated Seller Terms, you must stop using the seller services and may request closure of your seller account. Continued use of the seller services after changes become effective will generally be taken as acceptance of the updated terms, to the extent permitted by law.

21.3 Communication methods

Gidun will communicate with you using the contact details in your seller account, including email, platform notifications and, where appropriate, messaging tools. You are responsible for keeping your contact information up to date and for regularly reviewing communications from Gidun. Failure to read messages does not excuse non compliance with updated policies or instructions.

22. Miscellaneous

This final section collects various provisions that do not fit neatly into earlier sections but are still important for the legal relationship between you and Gidun. They deal with assignment, entire agreement and the status of headings and language.

These provisions help ensure clarity and predictability in how the Seller Terms are interpreted and applied.

22.1 Entire agreement for seller relationship

These Seller Terms, together with the Terms of Service, the Privacy Policy, the Cookie Policy, the Shipping Policy, the Returns & Replacements, the Refund Policy, the Prohibited Items, the Affiliate Program and the Affiliate Terms, and any other policies or guidelines that Gidun designates as applicable to sellers, constitute the entire agreement between you and Gidun regarding your use of the seller services. They supersede any prior oral or written understandings relating to the same subject matter.

If there is a conflict between these Seller Terms and any other document, these Seller Terms will generally prevail for issues specifically related to your seller activities, while the other document will govern its own subject matter, such as general user behaviour or privacy.

22.2 Assignment and transfer

You may not assign or transfer your rights or obligations under these Seller Terms, by operation of law or otherwise, without the prior written consent of Gidun. This includes transfers of accounts through business sales, reorganisations or other transactions. Any attempt to assign without consent is void.

Gidun may assign or transfer its rights and obligations under these Seller Terms, in whole or in part, to an affiliate, successor entity or acquirer in connection with corporate transactions such as mergers, acquisitions or restructuring, provided that the assignee agrees to honour these Seller Terms.

22.3 No third party beneficiaries

Except as expressly stated, these Seller Terms are not intended to grant rights to any third party. Buyers, other sellers and external parties may benefit indirectly from your compliance with these Seller Terms, but they do not become parties to this agreement solely by virtue of those benefits.

22.4 Language and headings

These Seller Terms may be translated into other languages for convenience. In the event of any inconsistency between a translated version and the original English version, the English version will govern, except where prohibited by law in a particular jurisdiction.

Headings and section titles are for convenience and organisation only and do not affect the interpretation of the provisions. Any reference to include or including is illustrative and does not limit the generality of the surrounding text.
